    Cablelynx Online Order Placement Terms and Conditions


    These Terms and Conditions (“Terms”) apply to all online orders for products and services submitted through the Cablelynx website or e-commerce portal. WEHCO Video, Inc., and its operating affiliates — Cam-Tel Company; Vicksburg Video, Inc.; Resort Television Cable Company, Inc.; Hope Community T.V., Inc.; Prescott Video, Inc.; Longview Cable Television Company, Inc.; Kilgore Video, Inc.; Pine Bluff Cable Television, Inc.; East Arkansas Video, Inc.; White County Video, Inc.; Tahlequah Cable Television Co., Inc.; and Bald Knob Video, Inc. — together doing business as Cablelynx Broadband (hereinafter “Cablelynx”).


    By submitting an order online, you agree to the following:


    1. Order Review and Acceptance


    All orders are subject to verification and approval by Cablelynx. Submission of an online order does not guarantee acceptance or fulfillment.


    Cablelynx reserves the right to:


    • Verify your identity and service eligibility,

    • Contact you to confirm details before processing your request,

    • Decline or cancel any order at its sole discretion, including for credit concerns, service availability, address mismatch, or suspected fraud.


    Orders may require up-front payment, resolution of outstanding balances, or collection of pastdue amounts before installation or activation.


    2. Service Availability


    Service availability is limited to areas where Cablelynx infrastructure exists and where technical and regulatory requirements are met. Some services may not be available at your location.


    Final confirmation of availability may occur after a physical inspection or network review.


    3. Pricing, Fees, and Promotional Offers


    Prices displayed on the website or in marketing materials are promotional and may not include applicable taxes, regulatory fees, surcharges, or equipment rental fees unless explicitly stated.


    Billing Services Fee:

    A $4.25 Billing Services Fee will be added to your account each month. This fee can be reduced or fully waived by enrolling in:


     Paperless Billing (credit of up to $3.50/month)

    • Automatic Payment (credit of up to $0.75/month)


    Eligibility for promotions may vary based on location, customer status (new or existing), or prior service history. Promotional offers may expire without notice and may require the maintenance of specific account settings (e.g., paperless billing or autopay) to remain valid.

    4. Installation and Equipment


    Installation may require a site visit and must be scheduled with a Cablelynx technician.

    Additional fees may apply for custom installation, buried drops, or indoor wiring.


    Unless otherwise stated, Cablelynx retains ownership of all leased equipment. You are responsible for the safe return of all equipment if service is cancelled. Unreturned or damaged equipment may result in additional charges.


    5. Modifications or Cancellations


    To change or cancel an order after it has been submitted, contact Cablelynx Customer Service as soon as possible:

    Cablelynx reserves the right to request verification of identity prior to making changes or cancellations. Delays in notifying us may result in installation or billing charges.


    6. Account Eligibility


    You may be required to pass a credit check or meet eligibility standards to qualify for certain offers. Cablelynx may, at its discretion, request:


    • Proof of residency or identification,

    Effective September 2025

    • Payment of first month of service in advance,

    • Resolution of prior account issues or returned equipment.


    Cablelynx reserves the right to deny service based on internal policies and regulatory requirements.


    7. Disclaimers and Limitation of Liability


    Cablelynx is not liable for delays, interruptions, or failures to process orders due to:


    • System outages or maintenance,

    • Inaccurate or incomplete information submitted by you,

    • Acts of third parties or circumstances beyond our control.


    In no event shall Cablelynx be liable for indirect, incidental, or consequential damages arising out of the order submission or installation process.


    8. Dispute Resolution


    Any disputes arising from your order or use of Cablelynx services are subject to binding arbitration (where permitted by law). You waive the right to bring or participate in class actions or jury trials related to this agreement.

    Cablelynx Online Account Registration Terms and Conditions & E-SIGN Consent


    These Terms and Conditions (“Terms”) apply to customers registering for online account access with WEHCO Video, Inc., and its operating affiliates — Cam-Tel Company; Vicksburg Video, Inc.; Resort Television Cable Company, Inc.; Hope Community T.V., Inc.; Prescott Video, Inc.; Longview Cable Television Company, Inc.; Kilgore Video, Inc.; Pine Bluff Cable Television, Inc.; East Arkansas Video, Inc.; White County Video, Inc.; Tahlequah Cable Television Co., Inc.; and Bald Knob Video, Inc. — together doing business as Cablelynx Broadband (hereinafter “Cablelynx”).


    By registering for and using the Cablelynx online portal (the “Service”), you agree to be bound by these Terms, our Master Subscriber Agreement, and our Privacy Policy available at www.cablelynx.com/privacy.


    1. Definitions


    • “Business Day” means Monday through Friday, excluding federal holidays.

    • “Password” refers to the secure credentials you create and maintain to access your account.

    • “Service” refers to the Cablelynx online customer portal and all features contained within, including bill viewing, account management, and payment processing.

    • “Payment” means any one-time or recurring payment submitted to Cablelynx via the portal.

    • “Payment Account” refers to your financial institution account or credit/debit card used to make a Payment.

    • “Payment Instructions” refer to the method of payment data you enter (e.g., card number, expiration date, routing/account number).

    • “You” or “your” refers to the customer or authorized user accessing the Service.


    2. Online Account Access and Responsibilities


    To use the Service, you must complete the registration process and provide accurate and complete account information. You are responsible for ensuring the ongoing accuracy of your contact information, billing address, and email address associated with your account.


    You agree to use the Service solely for personal, non-commercial purposes unless otherwise authorized in writing by Cablelynx. You may not use the Service for any fraudulent, unlawful, abusive, or unauthorized purpose.


    Cablelynx reserves the right to suspend or terminate access to the Service at its sole discretion for any activity that violates these Terms, interferes with the operation of the portal, or breaches any applicable laws or regulations.


    3. Security and Password Management


    You are solely responsible for safeguarding your login credentials, including your password. If you believe your account has been accessed without authorization, you must change your password immediately through the “My Account” portal.


    Cablelynx will never ask you for your password by phone or email. You agree not to share your password with any unauthorized parties. Cablelynx disclaims liability for any losses arising from unauthorized account access due to password misuse or failure to follow security best practices.


    4. Bill Payment Terms


    The Service allows you to submit one-time and recurring Payments toward your Cablelynx account balance using an eligible Payment Account.


    By submitting Payment Instructions, you authorize Cablelynx to debit your designated Payment Account for the specified amount. You acknowledge that:


    • One-time payments may be submitted manually at your discretion through the portal.

    • Recurring payments (autopay) are governed by the separate Automatic Payment Terms and Conditions.

    • Your account will be provisionally credited at the time the Payment is processed. This credit may be reversed if the transaction fails or is returned.

    • Cablelynx may charge a fee for returned or failed payments and may suspend or cancel services if timely payment is not received.


    5. Disclaimer of Warranties


    The Service is provided on an “as is” and “as available” basis. Cablelynx makes no warranties or representations, express or implied, including but not limited to:


    • The availability, accuracy, or reliability of the Service;

    • That the Service will be uninterrupted, error-free, or secure;

    • That access to your online account or payment processing will be free from viruses or unauthorized access.


    To the extent permitted by law, Cablelynx expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.


    6. Limitation of Liability


    In no event shall Cablelynx or its service providers be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:


    • Lost profits, data loss, or business interruption;

    • Unauthorized access or use of your account;

    • Delays or errors in payment processing;

    • Inability to use the Service due to system failures or outages.


    This limitation of liability applies even if Cablelynx has been advised of the possibility of such damages and regardless of the legal theory under which they arise.


    7. E-SIGN Consent – Electronic Communications Disclosure


    By registering for and using the Service, you consent to receive all legally required

    communications from Cablelynx electronically, including:


    • Billing statements;

    • Terms and policy updates;

    • Disclosures required by federal, state, or local law;

    • Notices regarding your account or service.


    These documents may be sent by email, posted to the online portal, or provided through another electronic method. You agree that electronic delivery satisfies any requirement that such information be provided in writing.


    You may request paper copies of any electronic communication by calling Customer Service at 1-800-903-0508. No fee will be charged for paper copies unless otherwise disclosed.


    You may withdraw your E-SIGN consent by closing your online account. If you do so, your access to the Service will be terminated. Withdrawal does not affect the validity of any prior electronic communications.


    8. System Requirements


    To access and retain electronic records, you must have:


    • A device with an internet connection;

    • A modern web browser (Chrome, Firefox, Safari, or Edge);

    • Software to view PDF files (e.g., Adobe Acrobat Reader);

    • A valid email address and the ability to receive messages.


    It is your responsibility to maintain the necessary hardware and software to receive electronic communications. Cablelynx is not liable for any inability to access the Service caused by your equipment or settings.


    You agree to resolve any disputes arising from or related to your use of the Service through binding arbitration, where permitted by law. You waive the right to participate in a class action or jury trial.


    Injunctive relief or claims involving Cablelynx’s intellectual property may still be brought in a court of competent jurisdiction. This provision shall survive the termination of your online account.


    10. Governing Law and Severability


    These Terms shall be governed by the laws of the state where your Cablelynx service is provided. If any provision is found to be unenforceable, the remaining provisions will remain in effect.

    By enrolling in paperless billing, you consent to receive all monthly billing statements and legally required notices in electronic format only, subject to the terms below.


    1. Scope of Consent


    By choosing paperless billing, you agree to receive:


    • Your monthly Cablelynx billing statement;

    • Any legally required disclosures, notices, or inserts that would typically be included in a paper bill;

    • Updates or communications that relate to billing, terms, or service notifications.


    All such information will be sent electronically to the email address associated with your account. Paper copies will not be mailed unless you specifically request them.


    2. Requesting Paper Copies


    You may request a printed copy of any electronic billing communication at no charge. To request paper copies:


    • Call Customer Service at 1-800-903-0508;

    • Or visit www.cablelynx.com and use the support or live chat feature.


    3. Withdrawing Consent


    You may opt out of paperless billing at any time and resume receiving printed bills by:


    • Logging into your Cablelynx account at www.cablelynx.com;

    • Navigating to billing preferences;

    • Selecting “Resume paper billing.”


    Please allow one full billing cycle for changes to take effect.


    4. Maintaining a Valid Email Address


    It is your responsibility to ensure the email address on file is current and accurate. If you fail to update your email address and your billing notice becomes undeliverable, your statement will still be considered received and payment will still be due by the listed due date.


    Cablelynx is not responsible for missed communications due to outdated contact information or email filtering (e.g., spam folders). Please add no reply@cablelynx.com to your safe sender list.


    5. System Requirements


    To receive and retain your electronic billing information, you must have:


    • Access to a current web browser (such as Chrome, Firefox, Safari, or Edge) that supports 128-bit encryption;

    • A valid email account;

    • Access to a computer, tablet, or smartphone with internet access;

    • The ability to download and save or print PDF documents.


    If these system requirements change and present a material risk to your ability to access your billing information, Cablelynx will notify you and allow you to withdraw consent if necessary.


    6. Printing and Saving Records


    You may print or electronically save your statements for your records. You are encouraged to retain copies for personal reference or tax purposes.


    7. Confirmation of Consent


    By enrolling in paperless billing, you confirm that:


    • You can access information provided electronically;

    • You have reviewed and accept these Terms and Conditions;

    • You understand you may withdraw consent at any time.

    Cablelynx Automatic Payment Terms and Conditions


    These Terms and Conditions apply to customers of WEHCO Video, Inc., and its operating affiliates — Cam-Tel Company; Vicksburg Video, Inc.; Resort Television Cable Company, Inc.; Hope Community T.V., Inc.; Prescott Video, Inc.; Longview Cable Television Company, Inc.; Kilgore Video, Inc.; Pine Bluff Cable Television, Inc.; East Arkansas Video, Inc.; White County Video, Inc.; Tahlequah Cable Television Co., Inc.; and Bald Knob Video, Inc. — together doing business as Cablelynx Broadband (hereinafter: “Cablelynx”).


    By enrolling in automatic payments, you authorize Cablelynx to initiate monthly charges to your designated credit card or debits from your designated bank account for all charges reflected on your monthly Cablelynx bill.


    1. Authorization


    By accepting these terms:


    • You confirm that the payment method you provide (credit or debit account) is your own

    and is authorized for recurring transactions.

    • You agree to maintain sufficient credit or funds to cover the total amount due each

    month.

    • The transaction will be processed on or after your bill’s due date, or on a scheduled date

    you select (where options are available).

    • This agreement constitutes your record of authorization; your monthly Cablelynx bill

    serves as your notice of the amount to be charged or debited.


    2. Payment Confirmation and Variations


    The exact amount charged may vary from month to month depending on your subscribed services, usage, or adjustments.


    • You will receive a billing statement in advance of each charge.

    • Charges will be deemed accepted unless disputed in accordance with Cablelynx’s

    dispute resolution process.


    3. Cancellation of Authorization


    You may cancel your automatic payment authorization at any time:


    • By logging into your Cablelynx account at www.cablelynx.com, navigating to billing

    preferences, and selecting “Change Payment Method” or “Cancel Auto Pay,”

    • Or by contacting Customer Service at 1-800-903-0508.


    Cablelynx requires adequate time to process cancellation requests. A cancellation is not

    effective until we have received and confirmed your request.


    4. Failed Transactions and Service Fees


    • If a transaction is declined or returned due to insufficient funds, expired accounts, or

    other errors, you remain responsible for the full payment amount.

    • A non-sufficient funds fee and/or late fee may be applied to your account as permitted

    by law.

    • Your bank or card issuer may impose additional fees, and Cablelynx is not responsible for reimbursing those fees.


    5. Right to Refuse or Terminate Enrollment


    Cablelynx reserves the right to refuse enrollment in automatic payment services or to cancel an existing automatic payment arrangement at its sole discretion, with or without notice.


    This authorization will remain in effect until you cancel it or until Cablelynx terminates the agreement.


    6. Acceptable Use Policy


    Your participation in automatic payments is governed by the Cablelynx Acceptable Use Policy which is available to view and download at https://cablelynx.com/legal. Any abuse or misuse of billing systems may result in suspension or termination of services.


    7. Limitation of Liability


    To the maximum extent permitted by law, Cablelynx is not liable for any indirect, incidental, or consequential damages arising from your use of automatic payments, including missed or duplicate charges, third-party bank fees, or service interruptions.


    8. Dispute Resolution


    You agree to resolve any disputes related to these payment terms through binding arbitration (where permitted by law) and waive your right to a class action or jury trial.

    Cablelynx Broadband App Terms & Conditions


    1. License Grant


    Subject to the terms of this Agreement, Cablelynx Broadband grants you a limited, non-exclusive, and nontransferable license to download, install, and use the App for your personal, non-commercial use on a mobile device owned or otherwise controlled by you ("Mobile Device") strictly in accordance with the App's documentation. This license is provided to you free of charge. 


    2. License Restrictions


    Licensee shall not:


    (a) copy the App, except as expressly permitted by this license;

    (b) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, copyrightable or registrable under intellectual property laws, of the App;

    (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App or any part thereof;

    (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the App, including any copy thereof;

    (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the App, or any features or functionality of the App, to any third party for any reason, including by making the App available on a network where it is capable of being accessed by more than one device at any time;

    (f) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the App; or

    (g) use the App in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems, or any other transport management

    systems; safety-critical applications, including medical or life-support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.  


    3. Reservation of Rights


    You acknowledge and agree that the App is provided under license, and not sold, to you. You do not acquire any ownership interest in the App under this Agreement, or any other rights thereto other than to use the App in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this Agreement. Cablelynx Broadband reserves and shall retain its entire right, title, and interest in and to the App, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.


    4. Collection and Use of Your Information 


    (a) You acknowledge that when you download, install, or use the App, Cablelynx Broadband may collect information about your Mobile Device and about your use of the App. You also may be required to provide certain information about yourself as a condition to downloading, installing, or using the App or certain of its features or functionality. When you download, register with, or use the App, we may ask you to provide information by which you may be personally identified, such as name, email address, telephone number, or any other identifier by which you may be contacted online or offline ("personal information") and that is about you but individually does not identify you, such as your password, and your router’s MAC address and serial number. This information includes information that you provide by filling in forms in the App and information provided at the time of

    registering to use the App. We may also ask you for information when you report a problem with the App and keep records and copies of your correspondence (including email addresses and phone numbers), if you contact us. Additionally, you may provide personal or other information to your internet service provider and other third parties that may be provided to us by your internet service provider and displayed on the App through your use of the App. The provision of this information by you to these third parties may be subject to such third parties’ terms and conditions. Cablelynx Broadband does not assume and will not have any liability or responsibility to you or any other person or entity for such information.

     (b) We use information that we collect about you, that you provide to us, or that we receive from your internet service provider, including any personal information, to provide you with the App and its contents, and any other information, including any in-App notifications related to your use of the App, fulfill any other purpose for which you provide it and/or carry out our obligations and enforce our rights arising from any contracts entered into between you and us. Your internet service provider may also use information that we collect about you to contact you about goods and services offered by your internet service provider or other third parties that may be of interest to you by sending you emails or in-App notifications. If you do not want us to use your information in this way, please do not use the App and delete your account. If you agree to let us use your information in this way but do not wish to receive in-App notifications, you may adjust your push notification preferences in your account profile. 


    All information we collect through or in connection with this App is subject to our Cablelynx Application Privacy Policy (accessible at https://www.cablelynx.com/privacy). By downloading, installing, using, and providing information to or through this App, you consent to all actions taken by us with respect to your information in compliance with the Cablelynx Broadband Mobile Application Privacy Policy. We may update our Cablelynx Broadband Mobile Application Privacy Policy from time to time and updated versions will be posted on the link provided in this section. 


    5. Information You Provide to Third Parties. 


    You acknowledge that you may provide personal or other information to your internet services provider and other third parties that may be displayed by Cablelynx Broadband on the App through your use of the App. The provision of this information by you to these third parties may be subject to such third parties’ terms and conditions. Cablelynx Broadband does not assume and will not have any liability or responsibility to you or any other person or entity for such information. The App may display, include, or make available content (including data, information, applications, and other products, services, and/or materials) from your internet service provider including data based on your service selections, instructions and/or consent to your internet service provider. 


    6. Updates.


    Cablelynx Broadband may from time to time in its sole discretion develop and provide App updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Cablelynx Broadband has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality. Based on your Mobile Device settings, when your Mobile Device is connected to the internet either: 


    (a) the App will automatically download and install all available Updates; or 

    (b) you may receive notice of or be prompted to download and install available Updates. 


    You shall promptly download and install all Updates and acknowledge and agree that the App or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the App and be subject to all terms and conditions of this Agreement. 


    7. Third-Party Materials. 


    We may display, include, or make available on the App content from third parties or provide links to third-party websites or services, including through third-party advertising ("Third-Party Materials"). You acknowledge and agree that Cablelynx Broadband is not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. Cablelynx Broadband does not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Materials. Third-Party Materials and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties' terms and conditions. If you do not wish to have such Third Party Materials displayed or sent to you, you may adjust the push notification preferences in your account profile or delete the App.


    8. Term and Termination.  


    (a) The term of Agreement commences when you acknowledge your acceptance and will continue in effect until terminated by you or Cablelynx Broadband as set forth in this Section 8.

     (b) You may terminate this Agreement by deleting your Cablelynx Broadband app account and the App (and all copies thereof) from your Mobile Device(s). Please note that deleting your Cablelynx Broadband app account will not delete your account(s) with your internet service provider for related services.

     (c) Cablelynx Broadband may terminate this Agreement at any time without notice if it ceases to support the App, which Cablelynx Broadband may do in its sole discretion. In addition, this Agreement will terminate immediately and automatically without any notice if you violate any of the terms and conditions of this Agreement. 

    (d) Upon termination: 

    (i) all rights granted to you under this Agreement will also terminate; and

    (ii) you must cease all use of the App and delete all copies of the App from your Mobile Device(s). 

    (e) Termination will not limit any of Cablelynx Broadband's rights or remedies at law or in equity. 


    9. Disclaimer of Warranties.


    THE APP IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, CABLELYNX BROADBAND, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APPLICATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, CABLELYNX BROADBAND PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE APP WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. 


    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. 


    (a) PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES. 

    (b) DIRECT DAMAGES IN AN AMOUNT THAT IN THE AGGREGATE EXCEED $100.00 USD. 


    THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR CABLELYNX BROADBAND WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU. 


    10. Indemnification. 


    You agree to indemnify, defend, and hold harmless Cablelynx Broadband and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to your use or misuse of the App or your breach of this Agreement, including but not limited to the content you submit or make available through this App. 


    11. Export Regulation. 


    The App may be subject to US export control laws, including the US Export Administration Act and its associated regulations. You shall not, directly or indirectly, export, reexport, or release the App to, or make the App accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, reexporting, releasing, or otherwise making the Application available outside the US. 


    12. Severability.


    If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this Agreement will continue in full force and effect. 


    13. Governing Law and Dispute Resolution. 


    This Agreement shall be governed by the laws of the state of Arkansas, Oklahoma, Texas & Mississippi, excluding its choice of law rules. The United Nations Convention for the International Sale of Goods shall in no event apply to this Agreement. Any and all dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration held in San Francisco, California before one neutral arbitrator. THE PARTIES UNDERSTAND AND AGREE THAT THEY ARE WAIVING THEIR RIGHT TO BRING SUCH CLAIMS TO COURT, INCLUDING THE RIGHT TO A JURY TRIAL. The arbitration proceedings shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, which are incorporated herein by reference, as may be modified by the provisions in this Section. The arbitration and proceedings shall be confidential. Either party may file pre-hearing motions directed at the legal sufficiency of a claim or defense equivalent to a demurrer or summary judgment prior to the arbitration hearing. The arbitrator will issue a detailed written decision and award, resolving the dispute. The arbitrator’s written opinion and award shall decide all issues submitted and set forth the legal principles supporting each part of the opinion, and shall be final and binding upon the parties. The arbitrator shall be authorized to grant any temporary, preliminary or permanent equitable remedy or relief the arbitrator deems just and equitable and within the scope of this arbitration agreement, including an injunction or order for specific performance. The arbitrator may award fees, costs, and reasonable attorneys’ fees to the party who substantially prevails in the arbitration. Judgment on the arbitral award may be entered in any court of competent jurisdiction. This clause shall not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. 


    14. Entire Agreement. 


    This Agreement and our Privacy Policy constitute the entire agreement between you and Cablelynx Broadband with respect to the App and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the App. 


    15. Waiver. 


    No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

    1. Eligibility


    Introductory promotional offers are exclusively available to new customers who have not subscribed to Cablelynx services within the last 60 days. To qualify as a new customer, the individual or household must not have had active Cablelynx service under the same name, address, or account within the 60 days preceding the promotion. Other promotional offers may be extended to existing subscribers and will be indicated as such on marketing materials, website and social media postings and in conversation with a Cablelynx Connectivity Expert.


    2. Duration of Offer


    Promotional offers are valid for a limited time only. Cablelynx reserves the right to modify or terminate the promotion at any time without prior notice. Customers must subscribe to the qualifying service during the promotional period to be eligible for the offer. Any changes made to the account including level of service, equipment or adding/removing of services may result in the promotion being removed from the account.


    3. Terms of Service


    The promotional pricing applies only for the initial promotional period as specified in the offer. After the promotional period ends, current rates will apply unless otherwise stated. Continued subscription to Cablelynx services after the promotional period will constitute acceptance of the standard service terms and conditions.


    4. Additional Conditions


    Cablelynx reserves the right to verify customer eligibility for this offer.

    These Terms of Use (the “Terms”) govern your access to and use of the Free Community Wi-Fi provided by WEHCO Video, Inc. doing business as Cablelynx Broadband (“Cablelynx Broadband”).


    Acceptance of Terms


    When you click to accept these Terms, or when you access and use Cablelynx Broadband’s Free Community Wi-Fi, including the PassPoint Profile Application (“SmartTown Wi-Fi”), you agree that you have read, understand, and accept all of the Terms, and agree to be legally bound by them for the benefit of Cablelynx Broadband If you do not agree to the Terms or if you do not understand or accept these Terms, then you must immediately discontinue access to or use of the SmartTown Wi-Fi. 


    Ability to Accept Terms


    You warrant and represent that you have the legal authority to accept these Terms on behalf of yourself and all persons and legal entities that you represent, sufficient to cause all such persons and entities to be legally bound to these Terms. You also warrant and represent that you have the legal authority to accept these Terms on behalf of the owner of the device you are using to access the SmartTown Wi-Fi, in the event you are not the device owner. By clicking to accept the Terms or by accessing or using the SmartTown Wi-Fi, you signify your agreement, and the agreement of all persons or legal entities you represent including the owner of the device (if applicable), without limitation or qualification, to be bound by these Terms. You further warrant and promise that you have the legal capacity to enter into this agreement and these Terms or, if not, that your parent(s) or legal guardian(s) have consented to your use of the SmartTown Wi-Fi and accept these Terms on your behalf. If you do not agree with each provision of these Terms, or you are not authorized to agree to and accept these Terms, you may not use the SmartTown Wi-Fi. In these Terms, references to “you” and “your” include you, your legal guardian or parent (if applicable), and any persons or entities that you represent, inclusive of the device owner (if applicable). 


    Use of SmartTown Wi-Fi


    You are fully responsible for your activities while using the SmartTown Wi-Fi, including any content, information or other materials you access or transmit via the SmartTown Wi-Fi, and you bear all risks associated with use of the SmartTown Wi-Fi. You agree not to use, or to assist any other person or entity to use, SmartTown Wi-Fi for any unlawful, harmful, or unauthorized purpose, including, but not limited to, accessing or transmitting material that is illegal, infringing, threatening, abusive, defamatory, obscene, or otherwise objectionable. You agree not to use the SmartTown Wi-Fi to engage in any prohibited conduct, or to assist any other person or entity in engaging in prohibited conduct, including conduct that: 


    • Is unlawful or barred by these Terms or other applicable contractual agreements;
    • Is infringing, such as downloading copyright protected material, video, audio or other without the owner’s permission;
    • Is tortious, meaning intentionally harmful to an individual or entity or that negligently or knowingly puts an individual or entity at risk of harm;
    • Would reasonably harm or otherwise adversely impact the security of the SmartTown Wi-Fi or any user’s device or information system; 
    • Invades the privacy of any individual;
    • A reasonable individual would or should know would violate another party’s intellectual property rights, privacy rights or other legal rights; or
    • Interferes with the operation, use, or enjoyment of the SmartTown Wi-Fi, or any other services, systems, products, or property. 

    Security Notice


    While Cablelynx Broadband implements reasonable security measures, we cannot guarantee the security of data transmitted over the SmartTown Wi-Fi. By using the SmartTown Wi-Fi, you accept the inherent security risks associated with public wireless communications. You agree to take appropriate steps to help protect yourself and your device, and to ensure the security of the SmartTown Wi-Fi for others, including but not limited to:


    • Installing and using up-to-date malware and virus protection on the device you use to access or use the SmartTown Wi-Fi;
    • Avoiding communications and websites that convey malware, such as phishing emails;
    • Installing the most recent security patches made available by your device and/or operating system provider;
    • If you were required to use login credentials to access the SmartTown Wi-Fi, maintaining these credentials confidentially, including refraining from sharing them with anyone or maintaining them in an insecure fashion, such as by displaying them in a place that is visible to others;
    • Notifying Cablelynx Broadband immediately if you believe that your login credentials were compromised; and Notifying Cablelynx Broadband immediately of any security issue you may detect with respect the SmartTown Wi-Fi.

    You are solely responsible for any loss, liability or damages resulting from your failure to adhere to the above-listed or other reasonable security precautions. You acknowledge that Cablelynx Broadband makes no assurance or guaranty regarding the privacy or security of information,

    including about you or the device you use to access the SmartTown Wi-Fi, or the content or communications you engage in, access, send, receive, or use while accessing the SmartTown Wi-Fi. We cannot and do not guaranty or represent that any such information will be or will remain private or secure, and you agree that Cablelynx Broadband assumes only the limited responsibility described herein for your privacy or security, and that of the device you use to access the SmartTown Wi-Fi.  


    Privacy


    We understand that privacy is important to you and others using the SmartTown Wi-Fi. Accordingly, we want you to know that, when you access or use the SmartTown Wi-Fi, Cablelynx Broadband will receive information that may identify you or the device you are using. That information may include MAC address, IP address, and unique device identifier such as a name or number assigned to the device. If you were required to login in order to access or use the SmartTown Wi-Fi, then registration information we obtain from you may include your name, phone number and email address. 


    We also will receive the real-time location of your device while it is accessing the SmartTown Wi-Fi. 


    We will use this information to provide the SmartTown Wi-Fi, to troubleshoot or otherwise address issues related to the SmartTown Wi-Fi, to provide reasonable security protections, and for general administrative and compliance purposes. We will share that information with others in the following circumstances:


    • With service providers, who use information to perform services on our behalf;
    • When reasonably requested or required by law enforcement authorities or other government officials;
    • When otherwise required by law or in response to legal process;
    • When we believe disclosure is appropriate to prevent physical harm or financial loss;
    • When reasonably necessary to investigate or otherwise respond to suspected or actual illegal activity or a violation of these Terms;
    • As needed to protect the vital interests of an individual; and
    • In the event we sell or transfer all or a portion of our business or assets. 

    Access and Usage Limits


    Cablelynx Broadband reserves the right to restrict or terminate your access to SmartTown Wi-Fi at any time without notice, for any reason, including, but not limited to, excessive bandwidth usage, violation of these Terms, or disruptive behavior. 


    NO WARRANTY


    SMARTTOWN WI-FI IS PROVIDED “AS IS” AND “AS AVAILABLE.” CABLELYNX BROADBAND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO GUARANTEES REGARDING THE AVAILABILITY, SPEED, RANGE, OR PERFORMANCE OF THE SMARTTOWN WI-FI.


    LIMITATION OF LIABILITY


    TO THE FULLEST EXTENT PERMITTED BY LAW, CABLELYNX BROADBAND IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE (OR INABILITY TO USE) SMARTTOWN WI-FI, INCLUDING BUT NOT

    LIMITED TO DATA LOSS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR PERSONAL INJURY. 


    Device Requirements and Coverage


    To use SmartTown Wi-Fi, you must have a Wi-Fi-capable device that:


    • Meets applicable technical standards.
    • Runs an IP protocol and renders standard HTML.
    • Connects automatically to network addresses. 

    Actual coverage, speed, and performance will vary depending on:

    • Distance from access points.
    • Device configuration and capabilities.
    • Environmental factors (e.g., physical obstructions).
    • Network congestion or maintenance. 

    Passpoint Profile for Connectivity


    To connect to SmartTown Wi-Fi, you are encouraged to download a Passpoint Profile application to your mobile device. This allows your compatible mobile device to automatically connect to authorized hotspots in participating SmartTown Wi-Fi areas, without the need to log in each time. Follow instructions provided by scanning the QR code on any of the signage in the parks, when accessing the SmartTown Wi-Fi sign-on page or contact Cablelynx Broadband support for assistance. Passpoint Profile is designed to help maintain a more reliable connection while improving security and user experience. 


    Communications and Content Monitoring


    In the course of providing the SmartTown Wi-Fi to you and operating the SmartTown Wi-Fi for you, Cablelynx Broadband may receive certain information about content you access, send, receive or use while accessing the SmartTown Wi-Fi, such as URLs and, for transmissions via HTTP or HTTPS, search terms, application commands, files names, file sizes and file types, when you use or access the SmartTown Wi-Fi. Cablelynx Broadband also may receive certain information about communications you may engage in, access, send, receive or use while accessing the SmartTown Wi-Fi, such as any of the information noted above, and address information, such as recipient and sender email address, or recipient or sender phone number in the case of text messaging via phone when such information is transmitted via an unencrypted manner. Cablelynx Broadband may use this content and communications-related information for the following purposes, and will retain the information consistent with these uses:


    • To filter or block inappropriate content, such as adult content or pornography;
    • To provide reasonable security measures such as logging and monitoring use of the SmartTown Wi-Fi to help prevent unauthorized access;
    • Making reasonable efforts to ensure an appropriate level of consistent service, including the availability and speed of the SmartTown Wi-Fi, subject to applicable disclaimers and limitations described herein;
    • Troubleshooting and addressing potential and actual problems with the SmartTown Wi-Fi; and 
    • Disclosing information to law enforcement and government agencies as may be deemed necessary, in their or Cablelynx Broadband’s discretion, consistent with applicable legal requirements. 

    You understand that Cablelynx Broadband will receive certain information about communications and content you engage in or send, receive, and/or access while using the SmartTown Wi-Fi, and you unconditionally agree and consent to Cablelynx Broadband’s receipt, collection, use, storage and disclosure of that information. You agree and understand that Cablelynx Broadband may, but is not required to, proactively monitor content, communications and activities undertaken using the SmartTown Wi-Fi. It is your responsibility to know and understand the risks of using public communication means, such as unsecured wifi, for transmission of any communications and content. 


    Termination of SmartTown Wi-Fi


    Cablelynx Broadband may, at any time and for whatever reason, change, terminate, limit or suspend the SmartTown Wi-Fi, in whole or in part, including your access to or use of the SmartTown Wi-Fi. In the event of termination, your rights to use the SmartTown Wi-Fi will immediately cease. 


    Accuracy, Completeness, and Timeliness of Information and Communications


    Cablelynx Broadband cannot guaranty that information, communications, content, or other material accessed through or presented by use of the SmartTown Wi-Fi is entirely accurate, complete, timely, or authentic, and does not assume any responsibility, liability or obligation for it. Cablelynx Broadband is under no obligation to post, forward, transmit, distribute, complete or otherwise provide any information, communications, content or other material via the SmartTown Wi-Fi.


    Third Party Services, Materials, and Content


    Services, materials, and content provided by third parties, such as other websites, communication services, information, applications, or other networks, have not been independently authenticated or tested in whole or in part by Cablelynx Broadband. Cablelynx Broadband does not provide, sell, license, or lease any such materials other than those specifically identified by us as being provided by Cablelynx Broadband. Cablelynx Broadband does not maintain or control such services, materials, and content and is not responsible in any way for it. Cablelynx Broadband provides the SmartTown Wi-Fi to you as a convenience, and your ability to use it to access any third party-provided services, materials, and content cannot be guaranteed. Availability of such services, materials, and content via the SmartTown Wi-Fi does not imply endorsement by Cablelynx Broadband.  


    Intellectual Property


    Intellectual property, including trademarks, logos, and service marks as may be displayed in connection with the SmartTown Wi-Fi or in any other manner are registered and unregistered trademarks of Cablelynx Broadband, its affiliates, its licensors, and other third parties. All such trademarks, logos, and service marks are the property of Cablelynx Broadband and/or their respective owners. Nothing displayed or accessed in connection with the SmartTown Wi-Fi shall be construed as granting by implication, estoppels, or otherwise, any license or right to use any trademark, logo, or service mark displayed in connection with the SmartTown Wi-Fi without the owner’s prior written permission. 


    Infringement


    Cablelynx Broadband respects the intellectual property rights of others and requires that you do the same as a condition of using the SmartTown Wi-Fi. You are prohibited from infringing, publishing, submitting, copying, uploading, downloading, posting, transmitting, reproducing, or distributing software, video or audio content, or any other material that is protected by copyright, trademark, patent, trade secret, any other type of intellectual property rights, trademark laws (by rights of privacy or publicity) or other proprietary right of any party unless you own or control the rights thereto or have received all necessary consent to do the same. This prohibition includes the use of any material or information including images or photographs that are made available through the SmartTown Wi-Fi. 


    Indemnification


    You agree to indemnify, defend, and hold harmless Cablelynx Broadband and its affiliates, and their officers, directors, employees, agents, suppliers, and vendors from and against any and all losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees and court costs, arising or resulting from your breach of any provision of these Terms or any warranty or promise you provided herein, or otherwise arising in any way out of your use or accessing of the SmartTown Wi-Fi. Cablelynx Broadband reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification and, in such case, you agree to cooperate with Cablelynx Broadband in defense of

    such matter. 


    Governing Law and Jurisdiction


    These Terms and your use of the SmartTown Wi-Fi shall be governed by the laws of the State of Arkansas, without regard to conflicts of law principles, and Cablelynx Broadband shall have at all times the right to seek any injunctive or equitable relief available to it under applicable laws. The exclusive jurisdiction for all controversies or claims shall be the federal and state courts in the State of Arkansas, and you agree that such courts will have personal jurisdiction over you in such matters through your use of the SmartTown Wi-Fi. 


    Entire Agreement


    These Terms constitute the entire agreement between you and Cablelynx Broadband regarding its subject matter, and it supersedes any prior or contemporaneous agreements between you and Cablelynx Broadband regarding its subject matter.


    Severability


    If any provision of these Terms is unlawful, void or unenforceable, the remaining provisions of the Terms shall remain in full force. 


    No Assignment


    You may not assign this agreement or the rights and obligations under the Terms without the express prior written consent of Cablelynx Broadband, which may be withheld in Cablelynx Broadband’s discretion. Cablelynx Broadband may assign this agreement and its rights and obligations under the Terms without your consent. 


    Modifications to Terms


    Cablelynx Broadband may update or revise these Terms at any time without prior notice. When you click to accept the updated or revised Terms, or continue to access or use of SmartTown Wi-Fi after updates or revisions to the Terms, you signify that you read, understand, accept and agree to be bound by the updated and revised Terms. Please review the Terms periodically for changes.

    MAINTAINING TELEPHONE SERVICE DURING ELECTRICAL OUTAGES 


    Cablelynx Broadband’s VOIP telephone service requires a modem (also known as an MTA) that is powered by plugging it into an electrical wall outlet. IF THE MTA LOSES POWER, YOUR TELEPHONE SERVICES WILL NOT WORK, INCLUDING 911 AND ANY HOME SECURITY OR MEDICAL MONITORING THAT RELIES ON TELEPHONE SERVICE. In the past, we included a backup battery in many of the MTAs that we provide, but batteries are now provided for an additional one-time charge in order to reduce costs for customers that prefer to rely on other options, such as their mobile phone or backup power options purchased from third parties. Our company now offers a 24 – hour battery option where applicable. If you received a battery from us without charge, you will not be charged for keeping the battery for use in our MTA, but charges would apply if you order a replacement battery from us. You are responsible for making your own decision about whether or how to supply back-up power for your telephone service. 


    Cordless telephones require power and will not operate during a power outage even if you have a back-up battery in your MTA. If you purchase a backup battery or other power source, we recommend that you maintain at least one corded telephone to use during power outages. 


    Available Backup Power Options 


    We offer batteries for $40.00 (plus applicable taxes). Self-installation instructions will be provided with the battery. Please contact us at 1-800-903-0508 to order a battery. 


    Warranty Information: If a battery does not work properly within ninety days of the date that you purchase it from us, we will ship a replacement battery to you it at no additional cost. You may also be able to purchase a compatible battery for your MTA at retail from a third-party provider; please consult the MTA manufacturer’s product materials for your model to assure that a battery is compatible with the device. You are solely responsible for any damage that results from the attempted installation or use of a third-party battery. 


    The backup batteries that we offer do not provide backup power for our Internet access service. You can purchase back-up power solutions from third parties, such as an uninterruptable power supply (UPS), that can provide backup power both for your phone and Internet modem (and other low-power devices, such as a mobile phone charger), but please note that many UPS devices only last for a short time period, especially when used to power multiple devices. While we do not endorse or warrant particular products or retailers, we note that a variety of UPS devices are available from major electronics retailers such as Best Buy. You may also wish to consider deploying other back-up power alternatives that may be available from electronics retailers, such as solar chargers, car chargers or mobile charging stations that may be more useful for extended outages. Please note that MTA batteries typically can only be re-charged through a powered MTA, so to use these alternatives to power your telephone service you may need to choose an option that can provide AC power to the MTA. 


    Performance and Monitoring of Your Battery


    The battery that you may purchase from us is rated by its manufacturer to last for at least 8 hours in idle mode, when the battery is new. The battery is intended to enable users to make short, emergency or other urgent telephone calls. During an extended outage, use your phone service sparingly to preserve your battery life. The actual length of time that your phone will be available during a power outage depends on many variables, including, but not limited to, the following: (i) the amount of phone usage when the phone modem is utilizing power from a backup battery; (ii) whether a backup battery is properly installed and charged, such as whether it has had an opportunity to fully recharge after a prior outage; (iii) the condition and age of a backup battery; and (iv) the amount of prior usage of the battery. Batteries lose capacity with age, and a leading supplier of MTA batteries has advised that the expected lifespan of an installed battery is 6-10 years. Battery performance is likely to degrade if the battery or MTA is stored at temperatures outside of normal room temperature (59-77°F), or if it is frequently discharged and charged. Failure to adhere to these proper storage and usage conditions will reduce the talk time available to you in an outage and the lifespan of your battery. YOU ARE SOLELY RESPONSIBLE FOR TESTING, MONITORING, AND REPLACING YOUR BATTERIES ON A REGULAR BASIS. We recommend that you check your battery at least every six months by checking the battery indicator while the MTA is plugged in or by checking your phone's functionality while the MTA is unplugged. We do not guarantee uninterrupted telephone services even to customers that have working backup batteries or other power supplies. In some instances, such as during a weather event, our network may experience other problems that would prevent normal operation of your services even if you supply power to your devices. 

     

    If you are concerned that the battery life of one of our batteries may not be sufficient, you may choose to purchase one or more extra batteries that can be installed in succession during an extended outage after the power in the first battery is exhausted. Extra batteries should be stored at room temperature and should be rotated into the MTA at least once per year to recharge the battery. Please note that you may need to press a reset button on the MTA for it to boot from battery power if a new battery installed when no AC power is provided.


    You are responsible for reviewing all safety and other guidelines and instructions from the manufacturer of any battery or other backup power supply that you use with our services. We recommend that you do not place batteries into fire, intense heat, or liquids or attempt to open or modify battery packs, and that you avoid skin contact with cracked or leaking batteries.
